RETREAT TERMS AND CONDITIONS

These Terms and Conditions (the “Terms”) govern participation in the Prime Process Retreat and are binding on each individual who registers for or attends the Retreat (the “Participant”). The Retreat is organized by Prime Process Inc. (“Prime Process”). By registering, completing electronic acceptance, or attending the Retreat, the Participant agrees to be bound by these Terms.

The Participant has registered to attend The Prime Process six-week program, including an in-person retreat taking place in Sámara, Costa Rica, in July 2026 (the “Retreat”).

The Retreat includes educational programming, group facilitation, physical movement activities, mindfulness practices, and optional experiential sessions intended to support personal reflection and development.

1. SCOPE OF PARTICIPATION

1.1 Attendance. The Participant agrees to attend the Retreat for the scheduled duration, subject to personal travel arrangements and health considerations.

1.2 Optional Activities. Certain optional activities may be offered during the Retreat, including experiential or plant-medicine-related activities. Participation in any such activity:

•       Is entirely optional;

•       Is governed by a separate, specific waiver and informed consent to be provided prior to participation; and

•       May require additional eligibility screening or health disclosures.

1.3 No Guarantee of Outcomes. Prime Process makes no representations or guarantees regarding any personal, professional, financial, spiritual, or transformative outcomes.

2. PARTICIPANT ACKNOWLEDGEMENTS

2.1 The Participant acknowledges and agrees that:

•       The Retreat is not medical treatment, psychotherapy, legal advice, financial advice, or mental-health care;

•       Prime Process does not diagnose, treat, or cure any condition; and

•       Participation is voluntary and at the Participant’s discretion.

3. PARTICIPANT REPRESENTATIONS AND RESPONSIBILITIES

The Participant represents, warrants, and agrees that:

3.1 Capacity. The Participant is at least 18 years old and has the legal capacity to enter into this Agreement.

3.2 Health and Fitness.

•       The Participant is solely responsible for assessing their own physical, emotional, and mental fitness to participate.

•       The Participant will consult appropriate professionals as needed prior to travel or participation.

•       The Participant will promptly and fully disclose any material health or safety concerns, including all known medical conditions, medications, allergies, and mental health history, that could reasonably impact participation in any Retreat activities.

3.3 Travel and Travel Documentation. The Participant acknowledges and agrees that they are:

•       Solely responsible for paying for and arranging their own transportation to and from the Retreat; and

•       Solely responsible for obtaining passports, visas, vaccinations, insurance, and other travel documentation.

Prime Process will generally not provide any immigration, health or travel advice and it shall not be responsible for any advice that may be construed as falling within the above noted categories.

3.4 Insurance. The Participant will obtain and maintain appropriate travel, medical, and evacuation insurance for the duration of the Retreat, including any appropriate coverage in Costa Rica. The Participant will provide proof of such insurance to Prime Process on request.

3.5 Emergency Contact. Prior to departure, the Participant shall provide Prime Process with the name, relationship, and current contact information of at least one emergency contact. The Participant authorizes Prime Process to contact such individual in the event of a medical emergency or other urgent circumstance involving the Participant during the Retreat.

3.6 Health Disclosure Form. Prior to the commencement of the Retreat, the Participant shall complete and submit to Prime Process a health disclosure questionnaire in the form provided by Prime Process. The Participant represents and warrants that all information provided in such questionnaire is accurate, complete, and not misleading. Prime Process reserves the right, in its sole discretion, to decline or limit the Participant’s participation in any Retreat activities based on the information disclosed, without liability to the Participant.

4. CODE OF CONDUCT

4.1 General Conduct. The Participant agrees to:

•       Act respectfully toward other participants, facilitators, staff, and third parties;

•       Follow all reasonable instructions of Retreat facilitators and local staff;

•       Comply with all applicable laws of Costa Rica and the rules of the retreat venue.

4.2 Prohibited Conduct includes, without limitation:

•       Harassment, discrimination, or abusive behavior;

•       Disruption of Retreat programming;

•       Actions that may lead to damage of Retreat facilities;

•       Unsafe conduct involving substances, weapons, or reckless behavior;

•       Violation of local law, venue policies, or safety protocols.

4.3 Removal. Prime Process reserves the right, at its sole discretion and without prior warning, to remove the Participant from the Retreat if conduct violates this Agreement or poses a risk to the safety or well-being of others. In such cases:

•       No refund will be owed; and

•       Prime Process bears no responsibility for alternative accommodations, transport, or expenses.

5. RELATIONSHIP TO VENUE AND THIRD PARTIES

5.1 Independent Venue. The Participant acknowledges that:

•       Prime Process does not own or operate the retreat property, accommodations, or transportation services;

•       Such services are provided by independent third parties.

5.2 No Responsibility for Third Parties. Prime Process is not responsible for acts, omissions, negligence, or breaches by independent third-party service providers, including:

•       The resort or landowner;

•       Transportation providers;

•       Local facilitators not directly employed by Prime Process.

6. ASSUMPTION OF RISK

6.1 General Assumption of Risk. The Participant acknowledges that international travel and retreat participation involve inherent risks, including but not limited to:

•       Physical injury;

•       Emotional discomfort;

•       Illness or infection;

•       Environmental hazards;

•       Travel disruptions.

6.2 Voluntary Participation. The Participant freely and voluntarily assumes all such risks to the fullest extent permitted by law.

7. LIMITATION OF LIABILITY

7.1 Excluded Damages. To the maximum extent permitted by law, Prime Process shall not be liable for any indirect, incidental, special, consequential, or exemplary damages.

7.2 Liability Cap. Except for claims that cannot legally be limited, Prime Process’s total aggregate liability arising from the Retreat shall not exceed the fees paid by the Participant for the Retreat.

8. INDEMNITY

The Participant agrees to indemnify and hold harmless Prime Process, its directors, officers, employees, contractors, and facilitators as well as its affiliates and their directors, officers, employees, contractors and facilitators from any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees and costs of defence) arising from:

•       The Participant’s conduct;

•       Breach of this Agreement;

•       Violation of law;

•       Damage to Retreat facilities, property or environment;

•       Injury to third parties caused by the Participant.

9. CONFIDENTIALITY AND MEDIA

9.1 Confidentiality. The Participant agrees to respect the privacy and confidentiality of other attendees and to refrain from sharing personal disclosures made within the retreat context.

9.2 Media and Recordings.

•       The Participant may not record or photograph sessions without express written consent.

•       Prime Process may capture photographs or recordings for internal or promotional use, unless the Participant opts out in writing prior to the start of the Retreat. Any opt-out received after the Retreat has commenced shall apply on a prospective basis only.

10. FEES, CANCELLATION & NO REFUND ON REMOVAL

10.1 Fees and payment terms are as set out in separate registration materials.

10.2 Removal for Cause. If the Participant is removed under Section 4.3, all fees are forfeited.

10.3 Program Adjustments. Prime Process reserves the right to modify, reschedule, relocate, or cancel the Retreat, in whole or in part, including changes to scheduling, facilitators, venue, or content, due to circumstances beyond its reasonable control. In the event of cancellation by Prime Process, the Participant’s sole remedy shall be a refund of fees paid, less any non-recoverable third-party costs reasonably incurred by Prime Process in connection with the Retreat (including, without limitation, venue deposits, travel bookings, and supplier commitments), as determined by Prime Process acting reasonably.

10.4 Participant Cancellation. If the Participant wishes to voluntarily cancel their registration, the following cancellation terms shall apply unless otherwise specified in the registration materials:

(a) Cancellations received more than forty-five (45) days prior to the start of the Retreat shall be entitled to a refund of fees paid, less any non-recoverable third-party costs reasonably incurred by Prime Process.

(b) Cancellations received between thirty (30) and forty-five (45) days prior to the Retreat start date shall be entitled to a refund of fifty percent (50%) of fees paid; and

(c) Cancellations received less than thirty (30) days prior to the Retreat start date shall not be entitled to any refund.

All cancellations must be submitted in writing to Prime Process. In the event that a Participant is unable to attend due to a documented medical emergency, Prime Process may, in its sole discretion, offer a credit toward a future program.

10.5 Force Majeure. Neither party shall be in breach of this Agreement, nor liable for any failure or delay in the performance of its obligations, where such failure or delay arises from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, governmental orders or restrictions, civil unrest, acts of terrorism, labour disputes, or failure of essential third-party services. Prime Process shall notify the Participant as soon as reasonably practicable of any force majeure event that materially affects the Retreat. For greater certainty, the right of Prime Process to cancel or modify the Retreat pursuant to this section shall be subject to the terms of Section 10.3.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law. This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

11.2 Venue. Any dispute shall be brought exclusively in the courts of Ontario, and the parties attorn to the jurisdiction thereof.

12. GENERAL

12.1 Entire Agreement. These Terms constitute the entire agreement regarding Retreat attendance, excluding separate waivers expressly referenced herein.

12.2 Severability. If any provision is held unenforceable, the remainder shall continue in full force. Sections 3, 6, 7, 8, 9, 10, 11, and 12 shall survive expiration or termination of this Agreement.

12.3 Acceptance. Acceptance of these Terms by electronic signature, checkbox confirmation, or attendance at the Retreat is valid and binding.

12.4 Amendments, Waiver, Assignment, and Notice. This Agreement may only be amended or modified by a written instrument signed by both parties. No failure or delay by either party in exercising any right or remedy under this Agreement shall constitute a waiver of that right or remedy, nor shall any waiver of a breach constitute a waiver of any subsequent breach. Prime Process may assign this Agreement, in whole or in part, without the Participant’s prior written consent in connection with a corporate reorganization, amalgamation, sale of all or substantially all of its assets, or transfer of its business. The Participant may not assign, transfer, or delegate this Agreement or any rights or obligations hereunder without the prior written consent of Prime Process. Any notice required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered by hand, by email with confirmed receipt, or by courier to the addresses set out in the registration materials or such other address as a party may designate by written notice to the other party.

12.5 Intellectual Property. All content, materials, curricula, methodologies, frameworks, and programming developed or provided by Prime Process or any affiliates in connection with the Retreat are the exclusive property of Prime Process and its affiliates and are protected by applicable intellectual property laws. The Participant is granted a limited, non-exclusive, non-transferable licence to use such materials solely for their personal, non-commercial use in connection with the Retreat. The Participant shall not reproduce, distribute, modify, publicly display, or commercially exploit any such materials without the prior written consent of Prime Process.

12.6 Privacy and Personal Information. By entering into this Agreement, the Participant consents to Prime Process collecting, using, and disclosing the Participant’s personal information, including health information, emergency contact details, and program-related data, as reasonably necessary to organize and deliver the Retreat, communicate with the Participant, ensure participant safety, and comply with applicable law. Prime Process shall handle all personal information in accordance with applicable privacy legislation, including the Personal Information Protection and Electronic Documents Act (Canada) (“PIPEDA”). The Participant may withdraw consent to certain uses of personal information, subject to legal and contractual restrictions, by providing written notice to Prime Process.
