Guided Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Guided Technologies Inc. (“Guided,” “we,” “us,” “our”). These Terms govern your access to and use of Guided’s websites, applications, public booking pages, and related services (collectively, the “Platform”).
Guided is a software platform. Providers are the merchant of record for bookings and payments, and Guests contract directly with Providers for Experiences (defined below). Guided is not a party to the Guest–Provider contract.
By accessing or using the Platform, creating an account, or clicking to accept, you agree to these Terms. If you do not agree, do not use the Platform.
1. Definitions
“Guest” means a person who browses, applies to, books, pays for, or participates in an Experience.
“Provider” means a business or individual (including a Workspace and its staff) that offers Experiences using the Platform.
“Workspace” means a Provider’s account space and associated business profile within the Platform. A Workspace may have multiple staff users.
“Experience” means any retreat, class, program, session, stay, or other offering made available by a Provider.
“Booking” means a Guest reservation or registration for an Experience.
“Provider Policies” means the Provider’s posted or communicated rules, including cancellation, refund, rescheduling, eligibility, application requirements, booking requirements, and other Experience-specific terms.
“Content” means text, images, video, audio, documents, waivers, policies, forms, messages, and other information.
“User Content” means Content submitted to the Platform by a Guest or Provider.
“Supplementary Products” means plant medicines, psychedelics, or similar products that are not permitted to be priced, invoiced, or collected through Guided.
2. Contracting Parties and Contact
The Platform is operated by Guided Technologies Inc. (“Guided”). For purposes of these Terms, if you are a Provider, you are contracting with Guided Technologies Inc., a Delaware corporation (“Guided US”). If you are a Guest, you are contracting with Guided US for Platform access, and you contract directly with Providers for Experiences.
Guided may provide certain administrative, support, or operational functions through affiliates, including a Canadian affiliate, but your contract under these Terms is with Guided US.

3. Eligibility and Accounts
The Platform is intended for users 18 years of age or older. Minors are not permitted to use the Platform. You agree to provide accurate information and keep it current, and you are responsible for maintaining the confidentiality of your credentials and all activities under your account.
You agree to comply with these Terms and the Acceptable Use Policy in Section 21.
4. Platform Role and Relationship Between Users
Guided provides software that enables Providers to publish Experiences, collect applications, manage bookings, and process payments. Guided does not provide the Experiences and does not control Provider operations. Unless Guided explicitly states otherwise in writing, Providers are independent third parties, Guided is not responsible for Provider acts or omissions, and Guided does not guarantee the quality, safety, legality, availability, or suitability of any Experience.
5. Guest Terms
5.1 Booking and the Guest–Provider Contract
When you apply for or book an Experience, you enter into a direct relationship with the Provider. The Provider is responsible for delivering the Experience as described, safety and onsite operations, staffing and qualifications, insurance and regulatory compliance, and Provider Policies. Guided may display Provider Policies, waivers, intake requirements, and other information, but Providers are responsible for their accuracy and enforceability.
5.2 Applications, Requirements, and Intake
Providers may require information at different stages, including application requirements (pre-booking), booking requirements (during booking), getting ready requirements (post-booking), and post-experience requirements (after participation). Some Experiences may be subject to Provider approval. Providers may decline an application or Booking at their discretion, subject to applicable law and their published rules.
5.3 Waivers
Providers may require Guests to accept waivers or releases. Guided may host or present such waivers, but the waiver is between Guest and Provider unless expressly stated otherwise.
5.4 Payments, Stored Payment Methods, Installments
Providers are the merchant of record for Experience payments. Payments are processed through third-party processors (for example, Stripe) and may involve Stripe Connect. If you choose to save a payment method, you authorize the payment processor and the relevant Provider (and Guided as the Platform facilitator) to store the payment method and to charge it for the initial payment, scheduled installment payments, authorized add-ons or adjustments, and amounts owed under Provider Policies (for example, cancellation fees or late fees), where disclosed. Guided may send you notices about upcoming and failed payments.
5.5 MOTO and Cardholder Authorization
Some Providers may enter payment details on your behalf (mail order/telephone order or “MOTO”). Where MOTO is used, the Provider must obtain and record your authorization using Platform tools (for example, a cardholder authorization acknowledgement). You remain responsible for authorized charges.
5.6 Failed Payments and Retries
If a payment fails, the Platform may attempt retries and notify you. Providers may charge late fees or administrative fees if disclosed as part of Provider Policies and permitted by law.
5.7 Cancellations, Refunds, Credits, Reschedules
Cancellations, refunds, credits, and reschedules are governed by the Provider’s advertised policies, except where the Platform explicitly states a mandatory rule. If a Provider declines an application/Booking, the Booking is 100% refundable (to the extent payment was captured), subject to processor constraints and timing. Credits, if offered, are generally provider-only credits usable only with that Provider.
5.8 Disputes and Chargebacks
Disputes about an Experience should be directed to the Provider first. If you file a chargeback with your bank, the Provider is financially responsible for the chargeback amount and fees. Guided may request information from you and the Provider to assist with evidence submission. Guided may limit Platform access or features for accounts associated with repeated abuse or fraud.
6. Provider Terms
6.1 Workspace Accounts and Authorized Users
Providers may create Workspaces and authorize staff. Providers are responsible for all activity under their Workspace, including staff actions.
6.2 Provider Responsibilities
Providers agree to provide accurate listings, schedules, policies, and disclosures; deliver Experiences as described; comply with all applicable laws (consumer protection, privacy, marketing, tax, and sector-specific rules); implement and enforce appropriate safety practices; and respond promptly to Guest inquiries as reasonably needed for fulfillment.
6.3 Licenses, Permits, and Insurance
Providers represent and warrant that they maintain all licenses, permits, approvals, and qualifications required to offer their Experiences, and commercially reasonable insurance appropriate to their operations and risks (including general liability and, where relevant, professional liability). Guided may request proof of compliance, and Providers agree to provide reasonable documentation upon request.
6.4 Taxes
Providers are solely responsible for determining, collecting, reporting, and remitting all taxes applicable to their Experiences, including sales taxes, VAT, GST/HST, occupancy or lodging taxes, and similar assessments. The Platform may provide configuration tools and reporting to assist Providers, but Guided does not provide tax advice and does not guarantee that any tax settings, calculations, or reports are complete, accurate, or sufficient for the Provider’s obligations.
6.5 Payment Processing, Chargebacks, and Recovery of Amounts Owed
Providers are the merchant of record and are solely responsible for chargebacks, reversals, refunds, dispute amounts, and all associated fees imposed by card networks, banks, or payment processors. Guided may support dispute workflows by notifying Providers and facilitating the submission of evidence through the Platform and/or the payment processor. Providers agree to respond to Guided’s evidence requests within 3 business days. If the Provider does not respond on time, Guided may submit best available evidence or treat the dispute as uncontested.
To the extent permitted by law and payment processor terms, Providers authorize Guided to recover from the Provider any amounts owed to Guided in connection with chargebacks and dispute handling, including chargeback fees and reasonable administrative costs, using one or more of the following methods as applicable: deduction from the Provider’s balance or reserves held with the payment processor; setoff against amounts otherwise payable to the Provider through the Platform; invoicing the Provider for amounts due; or any other commercially reasonable method permitted by the payment processor and applicable law.
6.6 Sensitive Data Prohibitions
Providers must not use the Platform to collect, store, or process government-issued IDs (unless expressly enabled and approved by Guided), full payment card numbers, CVVs, or bank login credentials, biometric data, or regulated medical records or documents such as lab results, diagnoses, clinician notes, or clinical chart records. Guided may remove forms/fields or suspend Workspaces for violations.
6.7 Supplementary Products Policy
Providers must comply with the Supplementary Products rules in Section 22.
6.8 Exporting Guest Data
The Platform may allow Providers to export Guest information, including intake responses. Once exported, the Provider is responsible for protecting that data and complying with applicable privacy laws.
6.9 Public Booking Pages
Providers may use Guided-hosted public booking pages. Providers are responsible for content, disclosures, and compliance for those pages.
7. Health, Safety, and No Medical Advice
Some Experiences may involve higher-risk modalities (for example, breathwork, sauna/sweat lodge, cold exposure, fasting, trauma work). Providers are solely responsible for assessing Guest suitability, collecting appropriate information and consents, ensuring proper supervision and safety, and providing accurate risk disclosures. Guided does not provide medical advice and does not verify Provider clinical qualifications. Guests should consult qualified professionals regarding medical questions.
8. Content, Reviews, and Editing
You retain ownership of your User Content. You grant Guided a worldwide, non-exclusive, royalty-free license to host, use, reproduce, modify (for formatting and presentation), display, distribute, and create derivative works of User Content as necessary to operate, improve, and market the Platform.
Guests and Providers grant Guided permission to use reviews, testimonials, and related content for marketing and Platform improvement, including with attribution (for example, first name and general location), unless you request removal where feasible.
Guided may edit Provider listing content for clarity, grammar, formatting, and presentation, including reordering sections and correcting obvious errors, without changing the substantive meaning. Providers remain responsible for accuracy. You may not upload Content that violates the Acceptable Use Policy or applicable law.
9. Intellectual Property
Guided owns the Platform and all related intellectual property, excluding User Content. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract source code except as permitted by law.
10. Third-Party Services
The Platform integrates with third parties (for example, Stripe, PostHog, PlanetScale, Vercel, Resend, AWS Pinpoint). Your use of third-party services may be subject to their terms and policies. Guided is not responsible for third-party services.
11. Fees for Provider Subscriptions
Providers may pay a monthly subscription fee for Platform access. Subscription fees are non-refundable except where required by law. Subscriptions auto-renew monthly until canceled. Cancelation takes effect at the end of the current billing period, with no prorated refunds. If subscription fees remain unpaid for 30 days, Guided may suspend Workspace access or features until payment is resolved.
12. Confidentiality (Providers)
Guided and Providers may exchange confidential information. Each party agrees to protect the other’s confidential information using reasonable care and not disclose it except as required to perform obligations or as required by law.
13. Privacy and Provider Data Roles
Guided’s Privacy Policy describes how Guided collects, uses, and shares personal information. For Guest personal information processed through a Provider Workspace (including intake forms and requirements), the Provider is the controller and Guided acts as a service provider/processor to provide the Platform. Providers determine what data they collect and how it is used for their Experiences. Providers are responsible for providing notices and obtaining consents required by applicable law.
14. Security
Guided uses commercially reasonable administrative, technical, and organizational safeguards designed to protect Platform data, including encryption in transit and at rest where supported by vendors, access controls, audit logging, backups, and monitoring. No system is perfectly secure.
15. Modifications to the Platform and Terms
Guided may modify or discontinue the Platform (in whole or part) and may update these Terms. If changes are material, Guided will provide reasonable notice (for example, in-app or by email). Continued use after the effective date means acceptance.
16. Suspension and Termination
Guided may suspend or terminate access to the Platform for violations, risk, fraud, legal compliance, or security reasons. Providers remain responsible for obligations incurred before termination.
17. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GUIDED DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. GUIDED DOES NOT WARRANT OR GUARANTEE EXPERIENCES OR PROVIDER SERVICES.
18. Limitation of Liability
To the maximum extent permitted by law, Guided will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business interruption, arising out of or relating to the Platform, even if advised of the possibility of such damages. To the maximum extent permitted by law, Guided’s total liability for all claims arising out of or relating to the Platform will not exceed the greater of $1,000 USD or the amounts paid by you to Guided for the Platform in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
19. Indemnification
You agree to indemnify and hold Guided harmless from claims arising out of your use of the Platform, your User Content, or your violation of these Terms or law. Providers additionally agree to indemnify Guided for claims arising from their Experiences, including safety, compliance, and Guest disputes (including chargebacks), except to the extent caused by Guided’s gross negligence or willful misconduct.
20. Governing Law and Forum
These Terms and any dispute between you and Guided arising out of or relating to the Platform are governed by the laws of the State of Delaware, without regard to conflict of laws rules. You agree that any such dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. For disputes between Guests and Providers, the applicable Provider Policies and Provider terms control, and Guided is not a party to those disputes.
21. Acceptable Use Policy (AUP)
You may not use the Platform to:
violate any law or regulation
engage in fraud, deception, or unauthorized transactions
harass, threaten, defame, or discriminate against others
post hateful, violent, or sexually exploitative content
facilitate illegal drug sales or illegal activity
publish deceptive medical claims or unsafe facilitation claims
upload malware or attempt to disrupt or access systems unlawfully
scrape or automate access in a way that harms the Platform
Guided may investigate and take action, including content removal, suspension, or termination.
22. Supplementary Products Policy (Plant Medicines / Psychedelics)
Experience prices, invoices, and payments processed through Guided must not include Supplementary Products. Providers may not list, invoice, collect, or process Supplementary Products through Guided, including by using add-ons or relabeling them as fees, donations, deposits, materials, or similar. Providers may mention Supplementary Products in descriptive text only if they include a clear disclosure that such products are paid separately and not through Guided. Guided is not responsible for Supplementary Products and is not a party to any separate transaction related to them.

Guided Privacy Policy

This Privacy Policy explains how Guided Technologies Inc. (“Guided”) collects, uses, shares, and protects information when you use the Platform.
1. Scope
This policy applies to information processed by Guided as a Platform operator. Providers may collect and use Guest information for their own purposes. When Providers collect Guest intake information for Experiences, Providers are the Controllers and Guided generally acts as a service provider/processor to provide the Platform.
2. Information We Collect
We collect information you provide, information collected automatically when you use the Platform, and transaction-related information.
Information you provide may include account details (such as name, email, phone, and authentication details), profile details you choose to provide, booking and transaction details (such as booking status, payment schedules, receipts, refunds, and credits), intake and forms content submitted through Provider-created forms (which may include health-related information), and communications with Guided.
Information collected automatically may include IP address, browser/device type, pages and actions, timestamps, and logs and security events.
Payments are processed by third-party processors (for example, Stripe). Guided does not store raw card numbers. Payment method storage and off-session charging are handled via the payment processor and relevant merchant account configurations.
3. How We Use Information
We use information to provide and operate the Platform, process and facilitate transactions and payment flows, enable Provider workflows (including bookings, forms, waivers, and reporting), communicate with you (including transactional messages, security notices, and support), improve and secure the Platform (including analytics, debugging, and fraud prevention), and comply with legal obligations and enforce agreements.
4. Cookies and Analytics
We use analytics tools such as PostHog to understand Platform usage and improve performance. PostHog may use cookies or similar technologies. We do not use marketing pixels today, but we may in the future; if we do, we will update this policy and, where required, provide choices. You can control cookies through browser settings. Some Platform features may not function properly without certain cookies.
5. Sharing and Disclosure
We share information with Providers as needed to fulfill bookings and operate Experiences (for example, guest contact info, booking details, and intake responses). We share information with vendors and service providers who help run the Platform, including:
Stripe (payments and identity verification for Providers)
PlanetScale (database hosting)
Vercel (application hosting)
PostHog (product analytics)
Resend (email delivery)
AWS Pinpoint (SMS, where used)
other tools used for monitoring, security, and integrations (for example, calendar integrations)
We may also share information with legal and safety recipients if required by law or to protect rights, safety, and security, and in connection with business transfers such as mergers, acquisitions, or asset sales. We do not sell personal information in the traditional sense.
6. AI-Assisted Features
Guided may offer optional AI-assisted features to help Providers operate their businesses and help Guests complete workflows. Examples may include summarizing or highlighting key items from Provider-created intake forms, assisting Providers with search, reporting, or operational insights based on their Workspace data, and generating internal drafts or suggested text for Provider workflows.
When AI-assisted features are enabled, Guided will use commercially reasonable measures designed to minimize the data sent to AI service providers, avoid using Guest sensitive intake data to train foundational models, and use retention-limiting and access controls where available. Providers remain responsible for determining what information they collect through intake forms and for ensuring they have appropriate permissions and notices for their Guests.
7. Data Retention
We retain information as needed to operate the Platform and for legitimate business purposes, including compliance, accounting, dispute resolution, and fraud prevention. We may retain certain records for typical statutory periods (often up to 7 years for financial records), even if you close your account.
8. Account Deletion and Your Rights
You may request account deletion by contacting support@guided.co. Guided will delete or anonymize information where feasible, but may retain certain records as required or permitted for legal compliance, accounting, dispute resolution, fraud prevention, and enforcement of agreements.
Depending on your location, you may have rights to access, correct, delete, restrict, object to processing, or request portability. Guided aims to offer GDPR-style rights globally, subject to verification and legal limitations.
9. International Transfers
Guided may store and process data in the United States and other jurisdictions where our vendors operate. Data protection laws may differ from those in your jurisdiction.
10. Security
We use commercially reasonable safeguards designed to protect information, including encryption in transit, access controls, least-privilege practices, monitoring, and backups. No system is completely secure.
11. HIPAA and Health Information
Guided is working toward HIPAA-aligned safeguards. Guided does not represent that the Platform is HIPAA compliant at this time, and the Platform may not be suitable for use by HIPAA-covered entities to store or process regulated protected health information unless and until Guided explicitly agrees in writing. Providers are responsible for determining what health information they collect, ensuring lawful basis/consents, and meeting any healthcare privacy obligations applicable to them.
12. Changes to This Policy
We may update this policy from time to time. If changes are material, we will provide notice. The “Last updated” date will reflect the current version.
